Terms of Sales

The site accessible at the address https://www.agencedigi.com/ (hereinafter the "Site") is published by the company WANG ECOMMERCE, registered with the Paris RCS under number 878 910 645 and whose registered office is located at 1 rue de l'Assomption 75016 in Paris. (Hereafter “Digi Agency”).  
These general conditions of sale apply to all services provided by Agence Digi and ordered by the Customer on the Site. The fact of registering online on the Site and validating an order implies the Customer's full and unreserved acceptance of these general conditions of sale. These general conditions of sale prevail over any other document of the Customer, and in particular over all the general conditions of purchase of the Customer. 
Agence Digi reserves the right to adapt, modify or update the general conditions of sale at any time. In the event of adaptation, modification or updating, the general conditions of sale in force on the day of subscription to the services will be applied to each new order.
 
Article 1: Object 
The purpose of these general conditions of sale is to define the rights and obligations of the parties in the context of the order placed by the Customer for the services offered by Agence Digi. 
 
Article 2: Beneficiaries of services 
Digi agency providing services and training intended to improve performance, traffic generation and conversions, the Site is intended for professionals, natural or legal persons. By ordering products or services, the Customer who is a natural person certifies that he is of legal age and that he has the capacity to contract on his own behalf or on behalf of the legal person he represents._cc781905-5cde-3194-bb3b -136bad5cf58d_
 
Article 3: Contractual documents
Orders placed are governed by the following contractual documents, in descending hierarchical order: these general conditions of sale; the bill ; the presentation of services on the Site. 
In case of contradiction between the provisions contained in the documents of different rank, the provisions of the document of higher rank will prevail.
 
Article 4: Order
In order to be able to benefit from the services offered by Agence Digi, the Client must have previously expressed his interest in them by contacting Agence Digi by formulating his request via a marketplace, email, or telephone. In contact with Agence Digi, the Client authorizes it to contact him again.
The Customer then receives an email at the address he provided when making his request, offering him an interview in order to present the services offered by Agence Digi.
The Customer is invited to accept his quote at the end of the interview if the latter suits him. By clicking on the "accept" button contained in the quote, and after having checked the content of the order and, if necessary, having modified it, the Customer declares to fully and unreservedly accept all of these general conditions of sale. . 
After confirming the chosen service(s), the Customer will definitively validate it by paying the deposit or the entire order. 
 
Article 5 – Price and terms of payment
By accepting the quote, the Customer agrees to pay the full amount due before the invoice is due.
The invoice can be paid either by the Customer or by a third-party payer, i.e. any natural or legal person who undertakes to pay, under the conditions defined in the general conditions of sale, the the services provided to the Client by Agence Digi. The Customer and the third-party payer are jointly and severally liable for payment of all amounts invoiced. 
Any invoice not paid on its term, whatever the cause, will immediately and automatically entail: the payment of all the remaining sums due to Agence Digi, whatever the method of payment;
payment of late payment penalties equal to the interest rate applied by the European Central Bank to its most recent refinancing operation plus 10 percentage points. Interest will begin to run from the due date shown on the invoice and will continue to run until the day of full payment of all amounts due; the payment of a fixed indemnity of forty (40) €, pursuant to the provisions of Articles L. 441-10 and D. 441-5 of the Commercial Code, without prejudice to the option for Agence Digi to claim additional indemnity on proof. 
No discount for advance payment or for cash payment is granted.
Agence Digi remains the owner of the websites created until the invoice is paid in full.
 
Article 6: Duration
Unless there is a delay on the part of Agence Digi, the duration of a project is fixed at 3 months. Once this period has passed, Agence Digi reserves the right to close the project. 
 
Article 7: Termination 
To terminate his subscription (hosting or any other service), the Customer must send an email to the address [contact@agencedigi.com].
 
Article 8 – Right of withdrawal  
No order may be subject to a right of withdrawal by the Customer.
In addition, it is specified in article L.221-28 of the Consumer Code that certain products or services cannot be the subject of a right of withdrawal, in particular the supply of digital content not provided on a material support, the execution of which has begun after the consumer's express prior agreement and express waiver of his right of withdrawal. 
In addition, a signed and/or accepted quote serves as a contract. The Customer is therefore no longer able to cancel the services ordered and is therefore obliged to pay the full amount indicated on the latter. 
 
Article 9 – Accessibility of the Site and malfunctions  
Agence Digi undertakes to do its best to ensure that the Site, including the Client's private area, is accessible and operational at all times during the subscription. However, Agence Digi is bound, in this respect, by an obligation of means and not of result.
In particular, Agence Digi reserves the right to temporarily interrupt access to the Site for maintenance, curative and/or evolutionary reasons. However, Agence Digi undertakes to make its best efforts to limit the time of interruption as much as possible.
In addition, the Customer declares that he knows the Internet well and accepts its limits and constraints. In particular, it acknowledges that: the reliability of transmissions is uncertain due, in particular, to the heterogeneous nature of the infrastructures and networks on which they circulate and that, in particular, breakdowns or saturation may occur; any equipment used to connect to the Site is and remains the sole responsibility of the Customer.
In the event of a proven malfunction of the Site, Agence Digi undertakes to analyze the identified error(s) within two (2) working days of receipt of their notification, and to the correct and then to make available a corrected version of the Site as soon as possible.
 
Article 10 – Liability and insurance  
The Customer acknowledges having received from Agence Digi all information allowing him to know the services he has ordered and to appreciate the advantages and limits of its use.
It is expressly understood between the parties that the subscription to any of the services offered by Agence Digi does not in any way exempt the Client from satisfying the legal and regulatory obligations incumbent on him in the context of his activity, and of which he remains alone. responsible.
Regarding advice and training, the obligation of Agence Digi is an obligation of means. The responsibility of Agence Digi is excluded in the event of failure to achieve the results expected by the Client within the framework of its activity, or of insufficiency of these.  
In any case, the responsibility of Agence Digi will only be engaged in the event of proven fault on the part of Agence Digi and will be strictly limited to the provision of access to the Site and to the services included in the order in accordance with the prescriptions of these conditions. general sales.

Article 11: Protection of personal data
As part of his subscription, the Customer is required to provide Agence Digi with personal data concerning him. These data are collected through forms provided for this purpose, which only contain fields that are essential to offer the service subscribed to by the Customer.
The processing of this data is necessary for the execution of the subscription contract and is carried out in accordance with the regulations applicable to the protection of personal data and in particular, the Data Protection Act No. 78-17 of January 6, 1978 as amended. and the European regulation relating to the protection of personal data of April 14, 2016 (RGPD). 
The Customer's personal data is intended for Agence Digi and its subcontractors providing the services covered by the subscription and, where applicable, its partners in accordance with the regulations applicable to the protection of personal data. Personal data may also be communicated to public bodies, court officers, ministerial officers, in order to comply with any law or regulation in force, to which Agence Digi would be required to respond (judicial or administrative request). Personal data is not transferred to third parties.
Personal data is processed for the administrative, technical and commercial management of the subscription, as well as for the purposes of audience measurement, quality monitoring, commercial prospecting, or for the purposes of detecting rights fraud. of Agence Digi and for the management of disputes. The optional information is intended to get to know the Customer better and thus to improve the services offered to him.
Agence Digi may send the Client, in compliance with the regulations applicable to the protection of personal data, information allowing him to better understand the services of Agence Digi as well as commercial proposals. The Client also authorizes Agence Digi to collect usage data from its site (if the latter was designed by Agence Digi) for the purpose of monitoring quality or optimizing its experience. The Client may object to this use by writing to Agence Digi under the conditions defined below.
The Customer's personal data is subject to electronic archiving by Agence Digi during the legal retention and prescription periods.
The Client may exercise his rights at any time (access, rectification, deletion, opposition, limitation of processing) on the data concerning him by writing by e-mail to contact@agencedigi.com or by post to the address identified at the top of the these general conditions by justifying his identity. The Customer may also define directives relating to the storage, erasure and communication to third parties of personal data concerning him after his death. Finally, the Client has the possibility of lodging a complaint with the National Commission for Computing and Liberties (CNIL), if the answers provided by Agence Digi do not seem satisfactory to him.
The Site also uses cookies to improve personalized service for the Customer. These cookies, with the exception of functional cookies which are necessary for the operation of the Site and the provision of the subscribed services, can be configured during the 1st visit to the Site, through the cookie banner, or at any time in the "cookies" tab available on the Site. 
 
Article 12: Intellectual property

The Customer is prohibited from using the Site and the content made available to it in a way that would amount to infringing the intellectual property rights of Agence Digi or a third party. In particular, the Customer is prohibited from deleting or modifying the mentions of ownership and/or copyright that Agence Digi would have affixed; to create content whose object, content, presentation, graphic elements, would be identical or similar to those of the content made available on the Site; to make the content to which it has access on the Site available to third parties, the accessible content being intended for the exclusive use of the Customer. 
 
Article 13: Collaborative space made available to the Client
Each Customer may be required to exchange with Agence Digi or other Customers via a collaborative tool made available on the Site. 
The Customer is responsible for his use of the collaborative tool and agrees that his messages:  
Are not illicit, contrary to the principle of loyalty, decency, human dignity, public order and good morals;
Are not defamatory, abusive, denigrating, obscene, revisionist, advocating the commission of crimes or misdemeanors and more generally contrary to the laws or case law in force 
Do not infringe the rights of third parties, in particular intellectual property, image rights

Article 14: Agreement of proof

Article 15 – Reference
By accepting the present, the Customer gives the authorization to Agence Digi to reference him as a customer on the Site, as well as on any commercial documentation. This authorization is valid for the duration of the contractual relationship between the parties and for a period of 10 years at the end of it, throughout the national territory. 

 

Article 16 – Force majeure
Any breach by either party of any of its obligations due to the occurrence of an event of force majeure, namely an event external to the parties, irresistible and unforeseeable, which prevents or makes it abnormally difficult the execution of the obligation in question, will not engage its responsibility. 
In the event of the occurrence of a case of force majeure, the party concerned will send a notification to the other party. 
 
Article 17 – Non-waiver
The fact that Agence Digi does not apply, does not require the application or does not avail itself of any of the provisions of these general conditions cannot be interpreted as a waiver to invoke this provision or any other.
 
Article 18 – Assignment
The Customer already authorizes Agence Digi to assign the benefit of his order concluded for the benefit of any other legal person, in the event of merger, absorption, transfer of the goodwill or branch of activity or any other operation involving a change of contracting party. The transferee will then be entirely subrogated to Agence Digi in the rights and obligations resulting from these general conditions.
 
Article 19 – Independence of clauses
In the event that one or more stipulations of these general conditions were to be held invalid, the validity of the other stipulations could not be called into question, unless they were inseparable from the invalidated provision. The parties undertake to conclude one or more replacement clause(s).
 
Article 20 - Applicable law / competent jurisdiction
These general conditions of sale are subject to French law. The language of these general conditions of sale is the French language.
 
Article 21 - Free trial offer
We sometimes offer trial or other sign-up promotions to certain customers that are subject to these Terms unless otherwise stated in the specific terms of the offer. Article 22 - Dispute

In the event of a dispute, the Customer will first contact Agence Digi to try to reach an amicable solution. 

In the event of a dispute with a Customer, the courts of Paris will have sole jurisdiction.

In the event of a dispute with a Client, Agence Digi reserves the right to pause a project in progress. A discussion will then be opened with the Customer to find a solution to remedy this dispute. In case of disagreement between the two parties, Agence Digi reserves the right to terminate the project and to invoice:

- 25% of the remuneration agreed on the contract (or quote) for projects started;

- 50% of the remuneration agreed on the contract (or quote) for ongoing projects;

- 75% of the remuneration agreed on the contract (or quote) for advanced projects.
